Terms of Service

You must be at least 16 years old (or the age of digital consent in your country) and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that entity.

• You must provide accurate registration information and keep it updated.
• You are responsible for all activity under your account and for safeguarding credentials and OAuth access.
• Notify us promptly at support if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms, pose security risk, or create abuse risk (including credit or API abuse).

Mediaorchid is a multi-model AI studio that lets you generate images and video, edit on canvas, build storytelling scripts, publish to a gallery, and participate in a remix credit economy. Features may change, be rate-limited, or be discontinued. We do not guarantee uninterrupted availability, specific model uptime, or particular aesthetic results.

• Generations, edits, remixes, and certain features consume credits according to pricing shown in the product (including model costs and remix costs of 10 credits, of which 2 may be credited to the original creator and 8 to the platform, as configured).
• New accounts may receive a one-time signup bonus; bonuses are discretionary, non-transferable, and may be revoked for abuse.
• Credit packs are purchased via Stripe. Prices are stated at checkout and may change prospectively.
• Credits are a limited license to use the Service—they are not cash, have no monetary value outside the Service, are non-transferable except as expressly allowed (e.g., remix creator rewards), and are generally non-refundable once granted, except where required by law or where a purchase failed to deliver credits due to our error.
• Chargebacks or payment disputes may result in account suspension and debit of associated credits.
• We may correct ledger errors and reverse fraudulent or erroneous transactions.

Inputs. You retain rights in prompts, uploads, and other materials you provide (“Inputs”), subject to the licenses below. You represent that you have all rights needed to submit Inputs and that Inputs do not infringe others’ rights or violate law.

Outputs. Subject to these Terms and applicable law, as between you and Mediaorchid, you own the generations produced for your account (“Outputs”), except that third-party model providers’ terms may also apply to Outputs. AI Outputs may be similar across users; we do not guarantee uniqueness or non-infringement.

License to Mediaorchid. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative technical copies of Inputs and Outputs as needed to operate, secure, and improve the Service (including sending content to AI providers to fulfill your requests, backups, and abuse detection).

Public gallery & remix. If you mark content public, you grant Mediaorchid and other users a license to view, share links to, and remix that content within the Service under the remix rules in effect. Remixes may credit original creators and allocate credits as described in-product. You may change future visibility where the product allows; we are not obligated to remove prior remixes or cached copies.

You agree not to:

• Violate law or others’ rights (IP, privacy, publicity)
• Generate, upload, or distribute child sexual abuse material, non-consensual intimate imagery, or content that exploits minors
• Engage in fraud, scams, phishing, or deceptive impersonation
• Produce content that promotes violent extremism, illegal weapons instructions, or other clearly illegal activity
• Attempt to bypass credit systems, rate limits, security controls, or access others’ accounts or data
• Reverse engineer, scrape, or overload the Service except as allowed by mandatory law or our documented APIs
• Use the Service to train competing foundation models using Mediaorchid Outputs at scale without our written consent
• Misrepresent AI-generated content as human-created where disclosure is legally required

We may remove content, suspend accounts, or report activity to authorities when we reasonably believe these rules are violated.

Outputs are produced by probabilistic models and may be inaccurate, biased, offensive, or infringing. You are solely responsible for reviewing Outputs before publishing or commercial use. Mediaorchid does not provide legal, medical, financial, or other professional advice. Model providers may change, throttle, or refuse requests.

The Service, branding, software, UI, and documentation are owned by Mediaorchid or its licensors. Except for the limited rights expressly granted, no license is granted to you. Feedback you provide may be used by us without obligation to you.

If you believe content on the Service infringes your copyright, email support@mediaorchid.art with: (a) your contact information; (b) a description of the work; (c) the URL or location of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that your notice is accurate and that you are authorized to act; and (f) your physical or electronic signature. We may remove content and, in appropriate cases, terminate repeat infringers.

The Service depends on third parties (payment, hosting, auth, storage, job runners, AI providers). Their outages or terms may affect the Service. Your use of Google sign-in is also subject to Google’s terms and privacy policy.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIAORCHID AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR CREDITS IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

You will defend and indemnify Mediaorchid against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Inputs, Outputs, misuse of the Service, or violation of these Terms or applicable law.

You may stop using the Service at any time and may request account deletion via Settings or by contacting support. We may suspend or terminate access immediately for breach, risk, or non-payment. Sections that by nature should survive (including licenses already granted for public remixes, disclaimers, limitations, and indemnity) will survive termination. Unused credits are forfeited upon termination unless required otherwise by law.

These Terms are governed by the laws of the State of New Mexico, United States of America, excluding conflict-of-law rules, unless mandatory consumer law in your country of residence requires otherwise. Courts located in New Mexico shall have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. Consumers in the EEA/UK may also bring proceedings in their country of residence where required by law.

We may modify these Terms by posting an updated version with a new effective date. Material changes will be indicated in-product or by email where appropriate. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and request account closure.

• These Terms are the entire agreement regarding the Service and supersede prior agreements on the same subject.
• If any provision is unenforceable, the remainder stays in effect.
• Failure to enforce a provision is not a waiver.
• You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
